Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AreYouUsing.ai ("Company," "we," "us," or "our") concerning your access to and use of the areyouusing.ai website and our services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Services Description

AreYouUsing.ai provides fractional AI officer services, including but not limited to:

• AI tool research, testing, and recommendations
• AI strategy consulting and implementation support
• AI business audits and assessments
• Ongoing AI expertise and advisory services
• Custom AI implementation and integration services

Service Tiers and Pricing

AI Business Audit

Our $499 AI Business Audit is a one-time, in-person consultation that includes business analysis, AI opportunity identification, and actionable recommendations. Payment is due at the time of booking.

Monthly Retainer Services

Monthly retainer services are billed on a recurring monthly basis. No long-term contracts are required. Services may be cancelled with 30 days notice.

Exclusivity Policy

We maintain a strict one-client-per-industry policy. When you engage our services, we commit not to work with direct competitors in your industry vertical within your geographic market. This exclusivity is maintained for the duration of our engagement and for 90 days following termination of services.

Payment Terms

• All fees are in US Dollars and are non-refundable unless otherwise stated
• Monthly retainer fees are due on the 1st of each month
• Late payments may result in suspension of services
• We reserve the right to change our pricing with 30 days notice
• The AI Business Audit includes a satisfaction guarantee: if we cannot identify opportunities worth 10x the audit cost, we will refund your payment

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business
• Grant necessary access to systems and data as required for services
• Respond to requests for information in a timely manner
• Maintain confidentiality of any proprietary information shared
• Use our services and recommendations in a lawful and ethical manner
• Not exceed allocated service hours without prior agreement

Intellectual Property

All content, materials, and deliverables created specifically for you during our engagement become your property upon full payment. However, we retain the right to:

• Use generalized learnings and methodologies for other clients
• Include your company in our client list (with your permission)
• Create case studies (with your approval and anonymization if requested)

Our website content, branding, and proprietary methodologies remain our exclusive property.

Confidentiality

We agree to maintain the confidentiality of your business information, trade secrets, and proprietary data. We will not disclose such information to third parties without your consent, except as required by law or as necessary to provide our services (e.g., using third-party AI tools).

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We provide our services "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the past 12 months
• We are not responsible for results or outcomes from implementing our recommendations
• We do not guarantee specific business results or ROI

While we strive to provide accurate and valuable advice, AI technology evolves rapidly, and recommendations are based on information available at the time of consultation.

Termination

Either party may terminate ongoing services with 30 days written notice. We reserve the right to terminate services immediately if you:

• Fail to pay fees when due
• Breach these Terms
• Engage in abusive or threatening behavior
• Use our services for illegal purposes

Upon termination, you remain responsible for payment of all fees accrued through the termination date. No refunds will be provided for partial months of service.

AI Systems Disclaimer

Our website uses AI-powered chatbots and voice agents for customer interaction. While these systems are designed to provide helpful information, they may occasionally produce errors or inaccuracies. Information provided by AI systems should not be considered a substitute for professional consultation. For binding commitments or detailed service discussions, please speak with a human team member.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of New Jersey.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
